1. Strategy session: SL (Limited Liability Company), Civil Partnership, or Sole Trader?

We analyze your project. We examine the differences between a sociedad civil (civil partnership) and a comunidad de bienes (a joint ownership structure), the advantages of an SL (Limited Liability Company), and whether it is best for you to start as an autónomo (sole trader / self-employed individual). We make the decision together.

2. Preliminary steps: Company name and share capital

We apply for the company name certificate (your company's name) from the Central Mercantile Registry. At the same time, we guide you through opening the bank account to deposit the minimum share capital for the SL (Limited Liability Company) (or we explain the new alternatives that do not require an initial deposit).

3. Articles of Association and Notary

We draft the articles of association that will govern your company. Once you approve them, we coordinate the appointment at the notary's office in Marbella that best fits your schedule for the signing of the deed of incorporation.

4. Activation and Registration

With the deed, we obtain the provisional NIF (Tax Identification Number), file the modelo 036 (Form 036) to register with Hacienda (the Spanish Tax Agency), and, finally, we register your new company at the Mercantile Registry of Málaga. At this point, your company legally exists!

Is it better to start as a sole trader (known in Spain as an autónomo) or to create an SL (a limited liability company)?

Depende. Si tu facturación inicial será baja y el riesgo es mínimo, ser autónomo es más sencillo. Si vas a tener socios, necesitas financiación, quieres separar tu patrimonio personal del empresarial o vas a facturar cifras elevadas, una SL es casi siempre la mejor opción. El tiempo varía. Usando los sistemas telemáticos (CIRCE), el proceso puede ser muy rápido, a veces en menos de 48-72 horas para tener la sociedad operativa (NIF y escrituras).
